Vice President, Securities Counsel (Remote in the U.S.)

Rackspace Technology is seeking a seasoned and highly skilled Securities Counsel to join our legal team. The Vice President, Securities Counsel will play a crucial role in shaping our company's securities law compliance and ensuring our practices adhere to all applicable legal and regulatory requirements. This leadership position will report to the Chief Legal Officer and Corporate Secretary and will join a dynamic team of solution-orientated, collaborative lawyers and other professionals. 

Key Accountabilities

    • Advise on all aspects of securities law compliance, including public disclosures, financial reporting, corporate governance, and insider trading policies.
    • Oversee the preparation and filing of periodic reports with the Securities and Exchange Commission (SEC), such as Forms 10-K, 10-Q, 8-K, proxy statements, and insider Section 16 reports.
    • Managing annual meetings of shareholders, including managing shareholder proposals
    • Collaborate with the Finance, Investor Relations, and Corporate Communications teams to ensure accurate and timely disclosures of material information to investors and the public.
    • Advise tax and finance on entity management and corporate structures
    • Oversee entity integrations and eliminations, both domestic and foreign
    • Maintain domestic entities in good standing and in compliance with state filings
    • Provide guidance on securities law implications of potential mergers, acquisitions, divestitures, and other strategic transactions.
    • Supporting Board of Directors governance, including: Drafting and maintaining minutes for all Board and committee meetings, preparing and maintaining key governance policies, advising Board, committees, and executive management regarding key corporate governance matters, and managing transfer agent relationship
    • Develop and implement corporate governance policies and procedures, including board and committee charters, codes of conduct, and insider trading policies.
    • Conduct securities law training and education programs for directors, officers, and employees to promote a culture of compliance and awareness.
    • Monitor developments in securities laws, regulations, and industry best practices to ensure that the company remains up-to-date and compliant.
    • Provide legal support in connection with capital raising transactions.
    • Providing legal support for executive compensation and equity compensation programs.
    • Providing general legal support for corporate office, including investor relations and treasury functions.
    • Manage relationships with external counsel, auditors, and regulators on securities law matters.
    • In addition to the primary responsibilities, experience with M&A transactions and/or commercial real estate is considered a valuable asset for this position, enhancing your ability to contribute effectively to a diverse range of legal matters.

Key Requirements

    • Juris Doctor (JD) degree from an accredited law school and an active license to practice law in the relevant jurisdiction.
    • A minimum of 7 years of experience in securities law, preferably within a public technology company, top-tier law firm, or regulatory agency.
    • In-depth knowledge of U.S. federal securities laws and regulations, including the Securities Act of 1933, the Securities Exchange Act of 1934, Sarbanes-Oxley Act, and Dodd-Frank Act.
    • Demonstrated experience with SEC filings, corporate governance, and capital markets transactions.
    • Exceptional analytical, communication, and negotiation skills, with the ability to distill complex legal concepts into practical solutions for a diverse audience.
    • Ability to effectively and pragmatically balance legal and business considerations
    • Ability to work effectively in a lean environment.
    • Strong collaborative orientation.
    • Strong organizational and project management skills, with a proven track record of effectively managing multiple priorities and meeting deadlines in a fast-paced environment.
    • Team player with a proactive approach, strong work ethic, and a commitment to continuous improvement and professional development.
    • Ability to simplify, problem solve, multitask and work effectively against deadlines and under pressure.
    • Ability to work autonomously with independent thinking, as a legal leader.
    • Excellent commercial and strategic business judgment, planning and organizational skills and attention to detail.
    • Strong proficiency in technology, including the Internet, Email, Adobe, and Microsoft Office applications, especially Word, Excel, and PowerPoint.

This applies only to individuals working in the state of Colorado or in New York City. The anticipated starting pay range for this role is  $213,000 - $334,400. Unless already included in the posted pay range and based on eligibility, the role may include variable compensation in the form of bonus, commissions, or other discretionary payments.
