Job Profile SummaryProvides support to the company’s legal department in the areas of litigation, employment and corporate law, including support to internal efforts as well as collaboration with outside counsel.This role is a hybrid role and will be onsite at our office at I-35/Walzem 2-3 days a week.
Key Responsibilities
- Other Incidental tasks related to the job, as necessary.
- Assist with litigation, potential claims, and employment law policies and issues for the company
- Support litigation processes related to case tracking, litigation holds, budgets and deadlines
- Gather and analyze electronic and paper discovery for litigation and claims
- Document management and drafting for litigation matters
- Develop intranet/portal content and other self-service tools for internal clients
- Perform legal research
- Draft employment-related agreements
- Assist in drafting quarterly litigation reports and assist with FAS5 compliance
- Assist with corporate law matters and filings for the company
- Maintain corporate records, including minute books, corporate filings and general record-keeping
- Assist with the preparation and filing of Company and personnel securities filings, including Section 16 reports, Form 8-Ks, annual and quarterly reports and proxy statements
- Assist with oversight of annual stockholder meeting process
- Assist with preparation and distribution of Board and Committee materials
- Assist in M&A activities, including supporting due diligence and closing procedures
- Assist in other special projects, including development of corporate policies, employee training and compliance programs
- Track outside counsel budgets vs. actual
- Review invoices for departures from guidelines
- Provide generalist support from time to time to all areas of the legal department as directed by their supervisors
- Be willing to tackle new challenges and projects within the department
Knowledge / Skills
- Advanced level knowledge of laws, regulations, and best practices related to litigation support issues applicable to a business environment
- Good knowledge of corporate and employment law matters is preferred but not required
- Strong work ethic. Detail oriented. Team player
- Excellent time management, communications, decision-making, presentation, human relations, and organizational skills
- Professional appearance and presentation required
- Ability to communicate technical info and ideas so others will understand
- Ability to make appropriate decisions considering the relative costs and benefits of potential actions
- Ability to successfully work and promote inclusiveness in small groups
- Ability to provide FANATICAL support
Requirements
- High school diploma or equivalent required
- Bachelor’s degree required, preferably in paralegal or legal studies
- At the manager’s discretion, a combination of relevant experience, education and paralegal certification may substitute for the Bachelor's degree requirement
- Paralegal or other legal specialist certification preferred
- 3+ year of experience as a legal assistant, paralegal, or legal specialistLitigation and e-discovery experience
- Experience in a legal department for a company or work on legal matters for business clients who had in- house legal departments preferred
